Terms of Service

By using Margin (the "Service"), operated by Downey Strategy ("we," "us," "our"), you agree to these Terms of Service.

1. The Service

Margin is a capacity planning and time-tracking tool. We may add, change, or remove features over time.

2. Your account

You must be at least 16 years old. You're responsible for keeping your login credentials secure. One person per account; don't share accounts.

3. Subscription and payment

Paid subscriptions are billed monthly or annually as you choose. Subscriptions auto-renew at the end of each billing period until you cancel. You can cancel at any time from your account settings, and your access continues until the end of your current billing period.

4. Refunds

We don't offer refunds for past charges. If you cancel, you won't be charged again, but already-paid periods are non-refundable.

5. Acceptable use

Don't use the Service to break the law, to harm others, to circumvent its security, or to scrape or reverse-engineer it. We may suspend or terminate accounts that violate these rules.

6. Your content

You own your data. We have a limited license to host and process it for the purpose of providing the Service.

7. Our intellectual property

We own the Margin software, brand, and design. You get a non-transferable license to use the Service while your subscription is active.

8. Termination

You can stop using the Service at any time. We can suspend or terminate your account if you violate these Terms or for any reason with reasonable notice.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. We don't guarantee it will be uninterrupted, error-free, or meet any particular requirement.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your misuse of the Service or violation of these Terms.

12. Changes to these Terms

We may update these Terms. If we make material changes, we'll notify you via email or an in-app notice. Continued use after notice means you accept the changes.

13. Governing law

These Terms are governed by the laws of the State of Nebraska, USA. Any disputes will be resolved in the state or federal courts located in Nebraska.
